There are many converters to choose from, such as:

http://www.aid4mail.com/email-conversion

You may find that OE can import mbox files directly,

But are you aware that whatever you are running OE on (Windows XP?) will also run Thunderbird? It's probably not necessary to convert the mail stores.

And another possibility is IMAP.
